Role Overview & Responsibilities

Responsibilities
Origination and investment opportunity appraisal

  • Identify, research and evaluate M&A and corporate development opportunities, drawing input and support from key stakeholder groups as required
  • Prepare financial and valuation models including calculation of investment returns, stress testing of projections and scenario analysis in line with the the Group’s investment appraisal approach and criteria
  • Evaluate, critique, and stress test business plans produced by Miller’s commercial, strategy or finance teams and / or external parties
  • Develop clear recommendations, including prepartion of investment case materials covering strategic, financial and execution considerations, and confidently articulate and present these materials to stakeholders
  • Prepare investment committee and board papers relating to M&A and corporate development opportunties and activities
  • Remain abreast of key industry developments, including current / rumoured M&A situations, and prepare succinct briefing materials where required.

M&A execution

  • Work with and manage external due diligence providers to ensure due diligence engagements are completed on time and within agreed fee estimates
  • Assume day to day responsibililty for the project management of acquisition processes and corporate development projects
  • Review data room documentation to support due diligence processes and the identifiation of key risks and issues
  • Liase with due diligence and integration workstream leads to collate due diligence findings, identify key risks and ensure appropriate contractual protections are obtained
  • Contribute towards and support principal-to-principal transaction negotiations with external counterparties
  • Alongside internal and external legal counsel, participate in the reviewing SPAs, Shareholders’ Agreements, and other legal transaction documents
  • Develop deal approval / sign-off materials for submission to the Board

M&A and Corporate Development Reporting

  • Preparation of standard monthly corporate development reporting packs for the Executive Committee, Investment Committee and M&A / Corporate Development Steering Committees
  • Support the preparation of the annual M&A strategy plan

Qualifications
Relevant professional qualifications, ideally a professional accounting qualification
Degree in a relevant area of study preferred

Knowledge
Knowledge of the Lloyd's, London and international insurance markets
A resourceful approach to research, and a proactive approach towards driving projects forward
Highly collaborative and able to build strong working relationships in fast-paced and demanding environments
Ability to identify and articulate strategic benefits of opportunities
Strong communication skills, and ability to distil complex concepts and articulate them succinctly

Experience
1-2 years post qualification experience or 4-5 years total experience
Experience in a corporate finance advisory, transaction services, or in-house corporate environment preferred
Some insurance broking sector experience is preferred
